Specific service scope, deliverables, and fees will be outlined in a separate engagement agreement or statement of work for each client engagement.

3. Payment Terms

3.1 Fees

Our fees vary based on the complexity of services provided. Fee information is available upon request or as quoted in your engagement agreement. We reserve the right to modify our fee structure with notice to existing clients.

3.2 Payment Due

Payment is due as specified in your engagement agreement. For tax preparation services, payment is typically due upon delivery of completed tax returns. For bookkeeping services, payment is due monthly.

3.3 Late Payments

Accounts not paid within 30 days of the invoice date are considered delinquent. We reserve the right to:

• Charge a late fee of 1.5% per month (18% APR) on outstanding balances
• Suspend or terminate services until payment is received
• Engage collection services or legal action to recover outstanding amounts

3.4 Refunds

Refund policies vary by service type and will be specified in your engagement agreement. Digital products purchased through our Etsy shop are non-refundable due to their nature. For professional services, refunds may be considered on a case-by-case basis for services not yet rendered.

4. Client Responsibilities

To ensure accurate and timely service delivery, you agree to:

• Provide complete, accurate, and timely information and documentation
• Respond promptly to requests for additional information or clarification
• Review all work products, tax returns, and filings before submission
• Maintain adequate records and support for all financial transactions
• Notify us of any changes to your financial situation or business operations
• Make payments according to agreed-upon terms

We are not responsible for errors, penalties, or interest resulting from incomplete, inaccurate, or untimely information provided by you.

5. Professional Disclaimers

5.1 Tax Services

While we strive for accuracy in tax preparation and planning, we cannot guarantee specific tax outcomes. Tax laws are complex and subject to change. You are ultimately responsible for the accuracy of your tax returns and any tax liabilities owed.

5.2 Insurance Services

Life insurance policies are issued by third-party insurance carriers, not The Spale Agency. Policy terms, conditions, exclusions, and coverage limits are governed by the insurance carrier's contract. We act as an independent agent and do not underwrite or guarantee insurance policies.

5.3 Business Consulting

Business consulting and financial planning services are advisory in nature. We do not guarantee specific business outcomes, profits, or financial results. Your business success depends on numerous factors beyond our control.

5.4 Not Legal Advice

Our services do not constitute legal advice. For legal matters, including entity formation, contracts, or estate planning, we recommend consulting with a qualified attorney.

6. Limitation of Liability

To the maximum extent permitted by law, The Spale Agency's total liability for any claims arising out of or relating to our services shall not exceed the total fees paid by you for the specific services giving rise to the claim. We shall not be liable for:

• Indirect, incidental, consequential, or punitive damages
• Lost profits, revenue, or business opportunities
• Penalties or interest assessed by tax authorities due to incomplete or inaccurate client-provided information
• Errors or omissions in third-party products or services (e.g., insurance policies, software platforms)
• Damages resulting from circumstances beyond our reasonable control

7. Confidentiality

We treat all client information as confidential and will not disclose it to third parties except as necessary to provide services, as required by law, or with your explicit consent. 8. Intellectual Property

All content on our website, including text, graphics, logos, guides, templates, and other materials, is the property of The Spale Agency and is protected by copyright and intellectual property laws.
